The Board

Corporate Governance - The Board of Marsden Building Society is committed to consideration of the Combined Code of Corporate Governance in the continuing development of Corporate Governance Practice at the Society.

The role of the Board is to set the strategic aims of the Society, to ensure that sufficient financial and human resources are in place to meet the objectives set and to review management performance. The Board also has a duty to ensure that the Society operates within a framework of prudent controls which enables risk to be assessed and managed.

The Board has a formal schedule of matters which are reserved to it and has delegated authority in other matters to a number of Board Committees as described below.

The Audit, Risk and Compliance Committee meets at least four times per annum and considers all matters relating to Internal Control & Risk Management Systems and Regulatory Compliance. The Committee receives regular updates from the Internal Audit, Compliance and Risk Management Functions and External Audit.

The Remuneration Committee meets at least once a year and has responsibility for policy on remuneration of the Executive Directors, Senior Management and the Chairman.

The Nominations Committee meets at least once a year and has responsibility for succession planning and the appointment of new Directors.

The Finance Committee meets five times per annum and considers overall financial strategy including balance sheet management, capital and revenue budgeting, accounting policies and treasury and financial risk management policies.

The Business Development Committee meets monthly and considers performance against planned targets in respect of mortgages, savings and other income.

The Mortgage Committee meets monthly and monitors credit risk and systems for managing and controlling credit risk, including Lending Policy and new business.

Neil Shoesmith LL.B. FCIB, - Director & Chief Executive

Neil joined the Society in October 1989 as Society Solicitor and became Chief Executive in 1998. A solicitor and a fellow of the Chartered Institute of Bankers, Neil has overall responsibility for managing the Society and implementing strategies agreed by the Board. He chairs the Executive Committee and is a member of the following Board Committees: 1 2

Neal Walker BA ACIB, - Finance Director & Secretary

Neal joined the Society in 1987. A member of the Society’s Executive management since 2000. Neal was appointed to the Board in December 2008 as Finance Director & Secretary. He has overall responsibility for financial & budgetary planning, treasury & liquidity risk, compliance, risk management and secretarial functions.
He chairs the Assets & Liabilities Committee and is a member of the following Board Committees: 1 2

Rob Pheasey BSc, - Operations Director

Rob joined the Society in 1989. A member of the Society’s Executive management since 2000, Rob was appointed to the Board in December 2008 as Operations Director.  He has overall responsibility for the Society’s Retail mortgage and savings business, marketing & product development, customer engagement and distribution channel management. He is a member of the following Board Committees: 1 2

Roger  Barlow  BA  FCA, - Chairman

Roger joined the Board in 2001, becoming Chairman in 2006. A fellow of the Institute of Chartered Accountants, Roger is a Director of an AIM Listed Company. He chairs the Board Finance, Nominations and Remuneration Committees. 

Peter  Baldwin BA FCA, - Vice-Chairman

Peter joined the Board in 1993, becoming Vice-Chairman in 2006. A retired chartered accountant, Peter holds a number of external directorships. He is a member of the following Board Committees: 1 2 3 4     

Christiana Buchanan LL.B. 

Christiana joined the Board in 2004 and is a senior prosecutor within the Crown Prosecution Service. She Chairs the Audit Risk and Compliance Committee and is a member of the following Board Committees: 3 4

Roger  Cornes FCA

Roger joined the Board in 1983. A partner with PM&M Chartered Accountants, Roger held the position of Chairman of the Board in the period 1994 to 2006. He is a member of the following Board Committee: 1  

Tom Fallon BSc CMath MIMA FCT
Tom joined the Board in 2010. A fellow of the Association of Corporate Treasurers and a chartered mathematician, Tom was director of treasury at United Utilities Group PLC for 17 years.  He is a member of the following Board Committee: 2
